Former David Jones chief executive Mark McInnes is one of three independent directors appointed to the board of a new Sydney racing club.

He will be joined by Macquarie Bank director Laurie Macri and John Camilleri, racehorse owner and managing director of poultry giant Steggles.

The selection committee comprised Racing NSW chairman Alan Brown, Australian Jockey Club (AJC) vice chairman John Cornish and Sydney Turf Club (STC) director Michael Crismale.

The three honorary positions are for a four-year term and the trio will join six directors, including Cornish and Crismale, already appointed from the current boards of the AJC and STC.

McInnes resigned his position at David Jones after admitting to behaving inappropriately towards publicist Kristy Fraser-Kirk who brought a $37 million lawsuit against him, David Jones and the retail company's directors.

The matter was later settled for $800,000.

The merger of the two clubs has been delayed by a challenge from a STC members' group but industry and government officials are confident it will go ahead in the new year.

The merger brings with it $174 million to be used for major renovations at Randwick Racecourse and improvements to access areas to Rosehill Racecourse.
